Terms of Service

1. Eligibility

The Service is intended for business customers and for individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and that you have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, you agree to these Terms on that organization's behalf, and "you" refers to that organization.

2. Accounts and Authentication

To use the Service, you must create an account by signing in with Google through Google's OpenID Connect (OIDC) authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. Our collection and use of information through Google sign-in is described in our Privacy Policy.

3. Fees

The Service is currently provided free of charge. We may introduce fees for the Service or for certain features in the future. If we do, we will provide notice and the applicable pricing terms before those fees take effect, and your continued use of paid features after that point will constitute acceptance of those terms. We reserve the right to modify, suspend, or discontinue the Service, or any part of it, at any time.

4. The Service and User Content

Certain features of the Service enable you to generate content, such as research summaries, reports, and related outputs, based on inputs you choose to provide ("User Content"). As between you and Owl AI, you retain ownership of the inputs you provide. You are solely responsible for your User Content and for ensuring that your use of the Service and your User Content complies with these Terms and applicable law.

You acknowledge that generated content may contain inaccuracies or errors. The Service is provided for informational purposes, and you are responsible for independently verifying any information before relying on it.

5. Acceptable Use

You agree not to, and not to permit any third party to:

• Scrape, harvest, capture, or otherwise extract live or recorded streams or stream data through the Service or in connection with it;
• Use the Service in any manner that violates applicable law or regulation, or infringes the rights of any third party;
• Access or attempt to access the Service or its systems by unauthorized means, or interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law;
• Use the Service to transmit malware or other harmful code, or to engage in any fraudulent, deceptive, or abusive activity; or
• Resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted by us.

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

6. Intellectual Property

The Service, including its software, features, design, text, graphics, and all related intellectual property, is owned by Owl AI or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

7. Termination

You may stop using the Service and delete your account at any time through the account deletion flow in the Service. We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. Upon termination, your right to use the Service will cease, and provisions of these Terms that by their nature should survive termination will survive.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT GENERATED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWL AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Owl AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Owl AI regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
